Louisiana NDA - Ex-employer threatening legal action To start, I understand that any advice herein is not legal advice, nor is it a substitute for an attorney. I just need a bit of advice on how to best protect myself prior to seeking legal counsel. With that out of the way... **First, some backstory** I recently gave my official notice to my current employer after accepting a position at a company that is not a competitor, as they deal in very different aspects under the same, broad umbrella. The position is a different job title and description; however, there may be *some* overlap in what I do now and what I will be doing. Upon employment at my former job I signed an NDA / non-compete, which I was sure to disclose during my interviews for the new position. The first thing my boss did upon receiving my notice was threaten legal action. I alerted my new employer of their threats and immediately began researching and reaching out to friends of mine in the legal field. Here are some of the things I found that lead to believe they don't have a case. 1) According to [this blog post](http://www.non-competes.com/2011/04/be-careful-when-drafting-geographic.html), a Louisiana non-compete must specifically state in which parishes the employee is prohibited from working in, as well as any counties in surrounding states. The non-compete I signed simply says all parishes in Louisiana and all counties in all states in the United States. This seems entirely too broad to hold up, and completely ridiculous to boot. 2) Also, the new job is in an entirely different parish from my current one, in which my ex-employer has no clients. 3) Lastly, the non-disclosure agreement specifically states that it does not apply to any information that is available to the public. Anybody would be able to find the information I know in the areas that *may* cross over, so this doesn't seem to hold up either.
